Dizzilogic Terms & Conditions

The following terms and conditions apply to all our services, which covers website development and design services provided by Dizzilogic IT Solution to the Client, in association with any relevant quotation provided to the Client by DizziLogic (Terms), unless otherwise agreed in writing. Approval of a quotation purchase and/or use of the Services shall be considered acceptance of the Terms.

  • You will be advised to make payment for our website projects and services over three stages:-

    Stage 1: Before commencing work we must receive a 30% deposit of your whole payment for your project. We can only proceed for further work after getting a 20% payment confirmation.

    Stage 2: We will provide you with all module structures and designs (50% of work) as per your requirement, and then you have to pay remaining 50% of your whole payment via your proposed payment method and should approve your project proposal letter by discussing time limit on functionality.

    Stage 3: Within the deadline of functionality work, we will provide you Domain name, along with your Login details according to your project. Within five business days of sending your website on its temporary domain, you have to make your remaining payment of 30% of your project, and this will be your final payment for your website.

    We may also use the content that you provide to us. In case we don't receive content for your website at the time of design approval, we will upload dummy content on your website. If you haven't provided your website content to us until the design approval time, we will fill your content when it is supplied to us at any later date.

    The final 20% payment and the content you will provide must not be delayed, under any situation. The delay in payment may only be considered if the content supplied by us for your website on its temporary domain has material defects from what we have promised to you in our initial proposal or design concepts. Once these material defects get rectified, we will automatically process your third stage payment. If you find any material defects it must be reported to us, in writing, within the 5 business days of delivering the content to you and us taking the third stage payment.

    Refund Policies

    Refund Policies for 100% of the payment regarding Website Projects before the commencement.

    1. Before commencing the project:

    You will get a complete refund of your project value if not a single thing regarding your project has commenced from when we receive payment of your deposit until we receive notice in writing that you are canceling your website project and requesting a refund.

    2. Once we start working on your project:

    Once we get to start working on your project no refund will be available on the 50% deposit you paid for your project. Work might include, but is not restricted to; contact between you and Account Manager and/or website designer of Dizzilogic, the initiation of wireframes/prototypes by Dizzilogic for your website, the design concepts and samples by Dizzilogic for your project and other work undertaken by Dizzilogic concerning your project.

    3. Once we deliver the project designs:

    According to the payment criteria agreed before commencing your project we take the second stage of payment for your project to deliver you the website designs. Once we receive the payment and deliver you the designs, no refund will be given for the payments made to date. If you choose to discontinue your website project, you must inform us in writing for the same. You must know that while canceling your website building at this stage you will have the ownership of the wireframe concept we have provided to you, as well as the website design concept(s) (excluding stock pictures and other supplies not owned by either party) that we have supplied.

    4. After delivering you the website:

    Following design approval, we will provide you with a temporary domain name for your website, along with login details of Dizzilogic (considering that we have received payment for Stage Two). At this particular stage, your website will contain the content provided by you, up to the point of design approval. If we do not have received content from you, the dummy content will be stored on your website as said earlier. If you don't provide content to us before website delivery, this is not causing the delay on the third stage payment owing. The last stage payment and final website charges of 20% will be taken within discussed business days after providing you details of the temporary domain name. If you opt to withdraw from your website project at this stage, no refund will be given to you. The delay in the third stage of payment can only be considered if there are technical or material defects on the website provided by us, to what we have promised during the proposal. Or the content you have provided to us to be loaded in the website, wireframe, and/or website design stages. In this case, we will be able to process your third stage payment once we rectify the issues.

    Suspending your account:

    While building your website we own the right to suspend your account if we don't receive approval and/or feedback within 6 months from the date we last supplied work to you. To re-open your project with DizziLogic we have to charge you 3000 + GST to reassemble resources for your project. If your project remains suspended for further three or more months, then we have the right to close your project forever. All the payments and money paid to us will be forfeited in its entirety and Dizzilogic will owe you no further obligation regarding completing your website project. This term relates to projects at any stage of the building; deposit, prototype/wireframe, design delivered and site delivered.

    Monthly Fee

    1. Commencement:

    We will start charging you a monthly fee upon website approval, or 28 business days from when we deliver the website to you for the first time on a temporary domain. Even though your website may not be live at this time, your account still costs us for things likecustomer support, domain name, email hosting, bandwidth, server disk space, and system upgrades.

    2. Payment in Advance:

    You will be charged for the month in advance. If you drop your service, you will not be billed again. You will not be eligible for a refund or partial refund for the previous payments, despite how much of the current month you have used. Payment will only be accepted by direct debit from a nominated bank account or a credit card kept on record. We do not accept cheque, direct deposits, or cash.

    3. Non-payment of the monthly fee:

    If the monthly charges for your website become delayed by more than 30 days, we will put your account on hold until all your outstanding payments are collected. This includes any email addresses we provided. We will charge a restoration fee of one month's fees including GST in addition to all outstanding fees. If the monthly charges for your website become delayed by more than 90 days, we will send your account details to a debt collection agency. You will then be accountable for any fees incurred in the recouping of the fees charged by the collection agency.

    4. Removal of account and refund policy for a monthly fee:

    If you are not happy with your website/software or our any service and you wish to put your site on hold for longer than 1 month then you may cancel your service immediately. From the time you receive your site removal confirmation, you will no longer be billed by Dizzilogic. No retrospective cancellation is possible. You will be billed monthly, for the month in advance for your monthly subscription. No full or partial refunds are available for unused portions of the month. If you use a few of our services (such as email hosting or domain registration), you must state which services you want to be canceled. Requests to cancel an account or a service must be in written format, stating the date you wish your service/s to be discontinued. Once we receive your confirmation we will process your request and reply to you with written confirmation of cancellation. If you wish to transfer website/software services with another provider, you must inform us if our services are no longer required to you. There is no automated way for Dizzilogic to know that you are no longer requiring our services. If you fail to notify us, we cannot settle your money for past months' fees. We will save a copy of your website for 6 months from the date of cancellation, after which we will erase all files related to your website. We will not inform you once we delete all files after 6 months. We will charge you an appropriate fee for re-activation if you choose to come back to us in the future.

    All payments made via razorpay a 2% surcharge.

    The images/graphics on your websites:

    If we use stock images on your website you do not (in any manner) own these images. The ownership is retained by the image rights owner. Such images cannot be used or re-used for any other purpose and can only be used as they were placed onto your website by Dizzilogic. Any editing of the dimensions and addition of graphics to the image in which they appear may violate their usage rights. Do not copy the images and use them for another promotional purpose. If you choose to own the images on your website or re-use them for another purpose then please contact us and we will endeavor to put you in contact with the image rights owner. This, of course, does not apply to images that you own and provided to us for using it on your website.

    Your intellectual property and our intellectual property

    The system that runs your website is the property of Dizzilogic at all times. The coding, programming, and intellectual property such as graphics and stock images that are used in creating your website are owned by Dizzilogic. In proceeding and paying in whole for your project with us you own the style, design, and graphic designs of the website. You also own all of the content that you store onto your website. The content, style, and design and graphics on your website will be made available to you if you elect to leave Dizzilogic.

    Website content

    Websites from Dizzilogic cannot be used to broadcast, publish, store, or communicate:

    Content sexually-explicit in nature;

    Information that contains viruses, worms or malicious elements;

    Copyright infringing data;

    Trade secret protected data;

    Data that infringes on any intellectual property, publicity rights or privacy rights;is defamatory, harassing or threatening;
    Relates to illegal business operations or schemes;
    Contains deliberately misleading, incomplete, or deceptive content; oris deemed inappropriate by Dizzilogic.

    Pricing

    The Dizzilogic has the right to modify the charges at any time. Before doing so, we will notify the same to you. Your continued use of our services implies acceptance of the new pricing.

    Promotional material

    Dizzilogic reserves the right to use client websites, web designs, layouts, prototypes, wireframes, and collateral in advertising/promotion and/or marketing purposes. This may include portfolio examples on our website, case studies, and other promotional works.

    Design requests from live website clients

    We allow between 3 to 5 business days to provide a quote. From approval to deposit payment for work, completion will take a minimum of 5 business days. Depending on the complexity of the work, our designer will surely let you know an estimated deadline at the outset if you wish. As estimations, they are subject to change. For quicker turnaround requests, we will charge you an assisted premium on top of the quote for the work itself. Quotes are valid for 10 business days from the date sent by Dizzilogic.

    Support and staff rates

    Dizzilogic provides a telephone helpdesk, an email support service on support@dizzilogic.com and a Live Chat service 5 days/week from 9 am - 6 pm.

    Included in your monthly fee:

    Helpdesk of Dizzilogic (understanding what you can do and where you do it)
    Help using webmail (and one-time support for email setup)
    Help to configure and transferring Domain Names
    Billing inquiries
    Bug reports and fixes of our Dizzilogic functionality

    Site launch

    We make every effort to launch your site with your domain name on the date you request after approving your website but we do not offer a guarantee. If we are not able to launch on the requested day we will inform you about the rescheduled date and will arrange for you an alternative launch date.

    Your privacy

    Your privacy is essential to us. We too dislike SPAM. We will never sell, rent, or share your contact details with any 3rd party. We will only reveal data about your account if compelled to do so by law.

    Fair use policy

    We employ fair use of policy for our websites. If we believe, for any reason, that you are not behaving in a manner expected of a Dizzilogic customer then we hold the right to terminate your account - effective immediately.

    Our website

    You may display our website name or logo on an internet access device occasionally, and only in circumstances that constitute "fair use" under applicable copyright law, print copies of insubstantial portions of our website. You may not modify our website, or any portion of it, except with the express written consent of Dizzilogic.

    Accessibility

    We make efforts to ensure that our website, Dizzilogic, and all of our services to remain online 24x7 every day of the year. However, this may not be possible at all times. There may be some situations when our website will be down, sometimes for things that we can't control and for those we can. When our services are offline we will do our best to get it online as soon as possible. We will not be held responsible for any damage, events, or losses directly or indirectly related to our website for being offline. If you have specific hosting needs or expect a large volume of users to visit your website in a short space of time like viral marketing campaigns, mass media exposure, etc. then please contact us well in advance.

    Service Level Agreement

    We endeavor to provide at least 99.9% uptime on all of our hostings. For more information on our Service Level Agreement, please click here.

    Hosting

    Your website must be hosted on our servers till your contact with us. Given the nature of our Content Management System (CMS) / Dizzilogic area, we cannot build or support your website unless it is hosted by us.

    Disclaimer of warranties

    Dizzilogic does not provide you with any warranty in respect of our services other than as is indicated by the law.

    Severability

    If a clause or part of a clause is read in a way that makes it unlawful, unenforceable or void, but can also be read in a way that makes it lawful, enforceable and valid, it must be read latterly. If any clause or a sentence is unlawful, unenforceable or invalid, that clause or part thereof is to be treated as removed from this document, but the rest of this document will not be altered.

    Jurisdiction

    This website is governed by the laws of the state of India. Any dispute arising from the use of this website will be settled in this jurisdiction only.
